제1조 (목적)

이 약관은 록시크(Rockseek, 이하 "회사")가 rockseek.ai 및 관련 채널을 통해 제공하는 서비스의 이용과 관련하여, 회사와 이용자 간의 권리·의무 및 책임사항, 서비스 이용 조건과 절차를 규정함을 목적으로 합니다.

제2조 (정의)

  1. "서비스": 미국 증권거래위원회(SEC) 공시 자료를 기반으로 미국 소형주의 구조적 특성을 분석하여 카드 형태로 제공하는 정보 서비스 일체를 말합니다.
  2. "카드": 특정 종목에 대하여 특정 기준일(as-of date) 시점의 공시 데이터를 분석한 결과물을 말합니다.
  3. "버딕트(Verdict)": 카드에 표시되는 분석 결론의 분류를 말하며, 그 성격과 한계는 제8조에서 정합니다.
  4. "회원": 이메일 가입을 통해 계정을 생성하고 서비스를 이용하는 자를 말합니다.
  5. "비회원": 계정 없이 서비스를 이용하는 자를 말합니다.

제3조 (약관의 게시, 효력 및 개정)

  1. 회사는 이 약관을 서비스 화면에 게시하며, 약관은 게시함으로써 효력이 발생합니다.
  2. 회사는 관련 법령을 위배하지 않는 범위에서 이 약관을 개정할 수 있습니다.
  3. 약관을 개정하는 경우 적용일자와 개정 사유를 명시하여 적용일 7일 전부터 서비스 화면에 공지합니다. 다만 이용자에게 불리하거나 중대한 변경의 경우 적용일 30일 전부터 공지하며, 회원에게는 이메일 등으로 개별 통지합니다.
  4. 이용자가 개정 약관의 적용일 이후 서비스를 계속 이용하는 경우 개정 약관에 동의한 것으로 봅니다. 개정 약관에 동의하지 않는 이용자는 서비스 이용을 중단하고 이용계약을 해지할 수 있습니다.
  5. 유료 서비스의 도입 등 새로운 서비스 유형이 추가되는 경우, 회사는 본 조의 개정 절차에 따라 관련 조항을 신설하거나 별도 약관을 제정하여 적용합니다.

제4조 (서비스의 내용)

  1. 회사는 SEC 공시 시스템(EDGAR)에 공개된 자료 및 이로부터 파생된 데이터를 분석하여, 종목별 구조 분석 카드를 제공합니다.
  2. 서비스는 정보 제공을 목적으로 하며, 투자 자문, 투자 권유, 특정 종목의 매수·매도·보유 추천이 아닙니다. 상세한 내용은 제8조에서 정합니다.
  3. 각 카드의 분석은 카드에 명시된 기준일(as-of date) 시점의 데이터에 근거합니다.

제5조 (서비스 이용 및 이용량 제한)

  1. 서비스의 기본 기능은 무료로 제공됩니다.
  2. 회사는 안정적인 서비스 운영과 남용 방지를 위해 이용량을 제한할 수 있습니다. 비회원에게는 시간 단위, 회원에게는 일 단위의 이용 한도가 적용되며, 구체적인 한도는 서비스 화면에 고지하는 바에 따릅니다. 한도는 운영상 필요에 따라 변경될 수 있고, 변경 시 서비스 내에 고지합니다.
  3. 회사는 시스템 부하, 보안 위협, 이용량 제한의 우회 시도 등이 확인되는 경우 서비스 이용을 일시적으로 제한할 수 있습니다.

제6조 (회원가입, 계정 및 탈퇴)

  1. 회원가입은 이용자가 이메일 주소를 제공하고 회사가 정한 절차에 따라 인증을 완료함으로써 성립합니다.
  2. 회원은 자신의 계정 접근 수단을 안전하게 관리할 책임이 있으며, 계정의 무단 사용을 인지한 경우 즉시 회사에 통지해야 합니다.
  3. 회원은 언제든지 서비스 이용을 중단하고 탈퇴할 수 있습니다. 탈퇴를 원하는 회원은 제17조의 문의처(support@rockseek.ai)로 이메일을 통해 요청할 수 있으며, 회사는 본인 확인 후 지체 없이 처리합니다.
  4. 탈퇴 시 개인정보의 처리에 관하여는 개인정보처리방침에서 정하는 바에 따릅니다.

제7조 (유료 서비스에 관한 예고)

  1. 회사는 향후 유료 구독 서비스를 도입할 수 있습니다.
  2. 유료 서비스의 구체적인 내용, 요금, 결제 수단, 환불 조건은 유료 서비스 도입 시점에 제3조의 절차에 따른 약관 개정 또는 별도 유료 이용약관의 제정을 통해 정하며, 시행 전에 공지합니다.
  3. 유료 서비스가 도입되어 이용자가 이에 가입하기 전까지, 이용자에게 어떠한 요금도 부과되지 않습니다.

제8조 (투자 판단에 관한 고지 및 면책)

  1. 서비스가 제공하는 모든 카드, 버딕트, 분석 내용, 기타 콘텐츠는 일반적인 정보 제공 목적으로만 제공되며, 대한민국 「자본시장과 금융투자업에 관한 법률」상의 투자자문·투자권유, 미국 Investment Advisers Act of 1940 등 관련 법령상의 투자 자문(investment advice), 그 밖의 어느 법역에서도 특정 증권의 매수·매도·보유에 대한 권유나 추천에 해당하지 않습니다.
  2. 회사는 어느 국가에서도 투자자문업자, 투자중개업자(브로커-딜러), 신용평가기관으로 등록되어 있지 않으며, 그러한 업무를 수행하지 않습니다.
  3. 버딕트는 공시 구조에 대한 분석적 분류이며, 종목의 안전성에 대한 보증이 아닙니다. 특히 부정적 구조 신호가 발견되지 않았음을 나타내는 분류(예: "CLEAN")는 해당 종목이 안전하다거나 투자에 적합하다는 보증(assurance)이 아니며, 분석 범위 밖의 위험은 언제나 존재할 수 있습니다.
  4. 모든 분석은 카드에 명시된 기준일(as-of date) 시점까지의 공개 데이터에 근거하며, 기준일 이후에 발생한 공시, 사건, 시장 상황은 반영되지 않습니다.
  5. 분석에 필요한 데이터가 불충분한 경우 그 사실이 카드에 표시되며(예: "DATA_LIMITED"), 이는 분석이 제한되었음을 의미할 뿐 해당 종목에 대한 긍정적 또는 부정적 판단이 아닙니다.
  6. 미국 소형주는 높은 가격 변동성, 낮은 유동성, 상장폐지 위험, 지분 희석 위험 등 특유의 높은 투자 위험을 수반합니다.
  7. 투자 여부의 결정과 그 결과에 대한 책임은 전적으로 이용자 본인에게 있습니다. 이용자는 투자 결정 전 공시 원문을 직접 확인하고, 필요한 경우 자격을 갖춘 전문가와 상담해야 합니다.

제9조 (데이터의 성격 및 한계)

  1. 서비스의 분석은 SEC EDGAR 공시 및 공개 데이터에 기초합니다. 공시 원문의 오류, 지연, 정정 또는 데이터 제공자의 장애는 분석 결과에 영향을 줄 수 있습니다.
  2. 서비스의 분석에는 자동화된 처리(대규모 언어 모델 기반 분석을 포함)가 사용되며, 그 특성상 오류나 누락이 발생할 수 있습니다.
  3. 회사는 서비스와 그 결과물을 "있는 그대로(AS IS)" 제공하며, 정확성·완전성·적시성·특정 목적 적합성을 보증하지 않습니다.

제10조 (지식재산권)

  1. 서비스 및 카드에 관한 저작권, 데이터베이스제작자의 권리, 상표권 등 일체의 지식재산권은 회사에 귀속됩니다. 다만 SEC 공시 원문 등 공공 데이터 자체에 대한 권리를 주장하는 것은 아닙니다.
  2. 이용자는 서비스의 결과물을 개인적·비상업적 목적으로 열람하고 참고할 수 있습니다.
  3. 회사의 사전 서면 동의 없이 카드 또는 그 실질적 부분을 대량으로 수집, 복제, 재배포, 판매하거나 이를 기반으로 파생 서비스를 제작하는 행위는 금지됩니다.

제11조 (이용자의 의무 및 금지행위)

이용자는 다음 각 호의 행위를 해서는 안 됩니다.

  1. 스크래퍼, 봇 등 자동화 수단으로 서비스에 접근하거나 이용량 제한을 우회·회피하는 행위
  2. 카드 및 데이터의 대량 수집, 재배포, 판매 또는 상업적 재이용
  3. 서비스의 리버스 엔지니어링, 소스코드 추출 시도, 서비스 운영의 방해
  4. 타인의 계정 도용, 허위 정보를 이용한 가입
  5. 관련 법령, 이 약관, 서비스 내 고지사항을 위반하는 행위

제12조 (서비스의 변경 및 중단)

  1. 회사는 운영상·기술상 필요에 따라 서비스의 전부 또는 일부를 변경하거나 중단할 수 있습니다. 이용자에게 불리한 중대한 변경 또는 서비스 전면 중단의 경우 사전에 공지합니다.
  2. 정기 점검, 긴급 보안 조치, 천재지변 등 불가항력의 경우 사전 공지 없이 서비스가 일시 중단될 수 있습니다.

제13조 (이용 제한 및 계약 해지)

  1. 회사는 이용자가 제11조를 위반하거나 서비스의 정상적 운영을 방해한 경우, 사전 통지 후 서비스 이용을 제한하거나 이용계약을 해지할 수 있습니다. 다만 긴급한 보안상 필요가 있는 경우 선조치 후 통지할 수 있습니다.
  2. 회원은 언제든지 제6조 제3항에 따라 이용계약을 해지(탈퇴)할 수 있습니다.

제14조 (책임의 제한)

  1. 회사는 관련 법령이 허용하는 최대 범위 내에서, 무료로 제공되는 서비스의 이용과 관련하여 발생한 간접적·특별·부수적·결과적 손해에 대해 책임을 지지 않습니다.
  2. 회사는 이용자가 서비스의 정보를 근거로 행한 투자 판단 및 그로 인한 손실에 대해 책임을 지지 않습니다.
  3. 본 조의 책임 제한은 회사의 고의 또는 중대한 과실로 인한 손해, 그리고 관련 법령상 배제할 수 없는 책임에는 적용되지 않습니다.

제15조 (준거법 및 재판관할)

  1. 이 약관과 서비스 이용계약에는 대한민국 법이 적용됩니다.
  2. 서비스 이용과 관련하여 분쟁이 발생한 경우, 민사소송법 등 관련 법령에 따른 관할 법원에 소를 제기할 수 있습니다.
  3. 본 조에도 불구하고, 이용자가 거주하는 국가의 강행법규가 이용자에게 부여하는 소비자 보호는 영향을 받지 않습니다.

제16조 (언어)

이 약관은 국문으로 작성되며, 영문 번역본은 참고용으로 제공됩니다. 국문본과 영문본 사이에 불일치가 있는 경우 국문본이 우선합니다.

Article 1 (Purpose)

These Terms of Service ("Terms") govern the rights, obligations, and responsibilities between Rockseek (the "Company") and users in connection with the services provided through rockseek.ai and related channels.

Article 2 (Definitions)

  1. "Service": the information service that analyzes structural characteristics of U.S. small-cap stocks based on filings with the U.S. Securities and Exchange Commission (SEC) and presents the results in card form.
  2. "Card": an analysis output for a specific ticker as of a specific date (the "as-of date").
  3. "Verdict": the classification of an analytical conclusion displayed on a Card, whose nature and limitations are set out in Article 8.
  4. "Member": a user who has created an account via email sign-up.
  5. "Guest": a user who uses the Service without an account.

Article 3 (Posting, Effect, and Amendment of the Terms)

  1. The Company posts these Terms within the Service; the Terms take effect upon posting.
  2. The Company may amend these Terms to the extent permitted by applicable law.
  3. Amendments will be announced within the Service at least 7 days before the effective date, specifying the effective date and reasons. For amendments unfavorable or material to users, the announcement will be made at least 30 days in advance, and Members will be individually notified by email or equivalent means.
  4. Continued use of the Service after the effective date constitutes acceptance of the amended Terms. Users who do not agree may discontinue use and terminate the agreement.
  5. If new categories of service (including paid services) are introduced, the Company will establish the relevant provisions through amendment of these Terms or a separate set of terms, following the procedure in this Article.

Article 4 (Description of the Service)

  1. The Company analyzes materials published on the SEC's EDGAR system and data derived therefrom, and provides structural analysis Cards for individual tickers.
  2. The Service is provided for informational purposes only and does not constitute investment advice, solicitation, or a recommendation to buy, sell, or hold any security. See Article 8.
  3. Each Card's analysis is based on data as of the as-of date indicated on the Card.

Article 5 (Use of the Service and Usage Limits)

  1. The core features of the Service are provided free of charge.
  2. To maintain stable operations and prevent abuse, the Company may limit usage. Hourly limits apply to Guests and daily limits apply to Members; the specific limits are as posted within the Service. Limits may change for operational reasons, and changes will be announced within the Service.
  3. The Company may temporarily restrict use of the Service in cases of system load, security threats, or attempts to circumvent usage limits.

Article 6 (Sign-up, Accounts, and Withdrawal)

  1. Membership is established when a user provides an email address and completes the verification procedure set by the Company.
  2. Members are responsible for safeguarding access to their accounts and must promptly notify the Company of any unauthorized use.
  3. Members may discontinue use and delete their account at any time. Members who wish to delete their account may request deletion by email to the contact in Article 17 (support@rockseek.ai); the Company will process the request without delay after verifying the requester's identity.
  4. The handling of personal data upon withdrawal is governed by the Privacy Policy.

Article 7 (Notice Regarding Future Paid Services)

  1. The Company may introduce paid subscription services in the future.
  2. The specific features, fees, payment methods, and refund conditions of any paid service will be established at the time of introduction, through amendment of these Terms or a separate paid-service terms document, following the procedure in Article 3, with advance notice before taking effect.
  3. Until a paid service is introduced and a user subscribes to it, no fees will be charged to users.

Article 8 (Investment Disclaimer)

  1. All Cards, Verdicts, analyses, and other content provided by the Service are for general informational purposes only and do not constitute investment advisory services or solicitation under the Financial Investment Services and Capital Markets Act of the Republic of Korea, investment advice under the U.S. Investment Advisers Act of 1940 or related regulations, or a recommendation or solicitation to buy, sell, or hold any security in any jurisdiction.
  2. The Company is not registered as an investment adviser, broker-dealer, or credit rating agency in any jurisdiction and does not perform such functions.
  3. A Verdict is an analytical classification of filing structure, not an assurance of safety. In particular, a classification indicating that no adverse structural signals were found (e.g., "CLEAN") is not an assurance that the security is safe or suitable for investment; risks outside the scope of the analysis may always exist.
  4. All analyses are based on public data available up to the as-of date indicated on the Card; filings, events, and market conditions occurring after the as-of date are not reflected.
  5. Where data is insufficient for analysis, this fact is indicated on the Card (e.g., "DATA_LIMITED"); such indication means only that the analysis was limited and is not a positive or negative judgment about the security.
  6. U.S. small-cap and micro-cap stocks involve heightened risks, including high price volatility, low liquidity, delisting risk, and dilution risk.
  7. Investment decisions and their outcomes are solely the responsibility of the user. Users should review original filings and, where necessary, consult a qualified professional before making investment decisions.

Article 9 (Nature and Limitations of the Data)

  1. The Service's analyses are based on SEC EDGAR filings and public data. Errors, delays, or corrections in original filings, or failures of data providers, may affect the results.
  2. The Service uses automated processing, including analysis based on large language models, which by its nature may produce errors or omissions.
  3. The Service and its outputs are provided "AS IS," without warranty of accuracy, completeness, timeliness, or fitness for a particular purpose.

Article 10 (Intellectual Property)

  1. All intellectual property rights in the Service and the Cards, including copyright, database rights, and trademarks, belong to the Company. The Company claims no rights over public data itself, such as original SEC filings.
  2. Users may view and reference the Service's outputs for personal, non-commercial purposes.
  3. Without the Company's prior written consent, bulk collection, reproduction, redistribution, or sale of Cards or any substantial part thereof, or the creation of derivative services based thereon, is prohibited.

Article 11 (User Obligations and Prohibited Conduct)

Users must not:

  1. access the Service by automated means (scrapers, bots, etc.) or circumvent or evade usage limits;
  2. engage in bulk collection, redistribution, sale, or commercial reuse of Cards or data;
  3. reverse engineer the Service, attempt to extract source code, or interfere with its operation;
  4. use another person's account or sign up with false information;
  5. violate applicable laws, these Terms, or notices posted within the Service.

Article 12 (Changes to and Suspension of the Service)

  1. The Company may change or discontinue all or part of the Service for operational or technical reasons. Material changes unfavorable to users, or full discontinuation, will be announced in advance.
  2. The Service may be temporarily suspended without prior notice for scheduled maintenance, urgent security measures, or force majeure.

Article 13 (Restriction of Use and Termination)

  1. If a user violates Article 11 or disrupts normal operation of the Service, the Company may restrict the user's access or terminate the agreement after prior notice; where urgent security needs exist, the Company may act first and notify afterwards.
  2. Members may terminate the agreement (delete their account) at any time under Article 6(3).

Article 14 (Limitation of Liability)

  1. To the maximum extent permitted by applicable law, the Company shall not be liable for indirect, special, incidental, or consequential damages arising from the use of the free Service.
  2. The Company is not liable for investment decisions made by users based on information from the Service, or for resulting losses.
  3. The limitations in this Article do not apply to damages caused by the Company's willful misconduct or gross negligence, or to liability that cannot be excluded under applicable law.

Article 15 (Governing Law and Jurisdiction)

  1. These Terms and the service agreement are governed by the laws of the Republic of Korea.
  2. Disputes arising in connection with the Service may be brought before the courts having jurisdiction under the Civil Procedure Act of the Republic of Korea and other applicable laws.
  3. Notwithstanding the foregoing, nothing in this Article affects consumer protections granted to users under mandatory laws of their country of residence.

Article 16 (Language)

These Terms are drafted in Korean; the English translation is provided for reference. In case of any inconsistency, the Korean version shall prevail.
